Diese zweisprachige Ausgabe des Wertpapiererwerbs- und Übernahmegesetzes erleichtert allen, die grenzüberschreitend im Bereich öffentlicher Übernahmen tätig sind, die Kommunikation und tägliche Arbeit. Das WpÜG findet Anwendung auf Angebote zum Erwerb von Wertpapieren, die von einer Zielgesellschaft ausgegeben wurden und zum Handel an einem organisierten Markt im Inland oder in einem anderen Staat des Europäischen Wirtschaftsraums zugelassen sind. Seit Inkrafttreten des WpÜG bis zum Ende des Jahres 2014 wurden 414 Angebote nach dem WpÜG veröffentlicht (von welchen 394 durchgeführt wurden). Das WpÜG regelt außerdem die Befreiung vom Pflichtangebot sowie die Nichtberücksichtigung von Stimmrechten. / This bilingual edition of the German Securities Acquisition and Takeover Act facilitates the communication and daily work of all those who operate across borders in this legal field. The Securities Acquisition and Takeover Act applies the offer for the acquisition of securities that have been issued by a target company and are admitted to trading on an organized market in Germany or in other state of the European Economic Area. Since the Act's entry into force until the end of 2014, 414 offers have been published in accordance with this Act (with 394 of them being completed). Apart from this, the Securities Acquisition and Takeover Act also contains exemption rules regarding the requirement to make a mandatory offer as well as rules relating to the non-consideration of voting rights.
